Terms of Service
Overview
This website is operated by Hangzhou Rongyue Import & Export Co., Ltd. (杭州嵘悦进出口有限责任公司) under the brand name RonVue ("RonVue," "we," "us," or "our").
We offer rowing apparel, accessories, and custom team apparel for individual customers, rowing clubs, schools, universities, and other organizations.
These Terms of Service ("Terms") govern your access to and use of our website and the products and services offered through it.
By accessing our website or placing an order, you agree to these Terms and the policies referenced in them. If you do not agree, please do not use our website or services.
Our Privacy Policy, Refund & Returns Policy, Shipping & Delivery Policy, and, where applicable, Cookie Policy form part of the information governing your use of our website and purchases. Any separate quotation, accepted order confirmation, or written custom order agreement may also contain additional terms.
Where an order-specific agreement conflicts with these Terms, the order-specific agreement will govern that order to the extent permitted by applicable law. Nothing in any policy or agreement limits rights that cannot lawfully be excluded.
Section 1 — Eligibility and Acceptable Use
You must be legally capable of entering into a binding agreement under the laws applicable to you to place an order. Where required by law, a minor may use the website or make a purchase only with the involvement and consent of a parent, guardian, or other legally authorized person.
You agree to use the website only for lawful purposes and in accordance with these Terms.
You must not:
- Use the website for unlawful, fraudulent, or unauthorized purposes.
- Infringe the intellectual property or other rights of RonVue or any third party.
- Upload or transmit viruses, malware, or other harmful code.
- Attempt unauthorized access to our website, systems, or customer information.
- Interfere with website security, availability, or normal operation.
- Collect personal information through the website without authorization.
- Use automated tools to scrape or extract website content in a manner that violates applicable law or these Terms.
We may take reasonable measures to investigate, restrict, or suspend activity that appears fraudulent, unlawful, harmful, or materially inconsistent with these Terms, subject to applicable law.
Section 2 — Website Information and Availability
We make reasonable efforts to ensure that information on our website is accurate and current. However, occasional typographical errors, omissions, outdated information, or technical issues may occur.
We may update website content, correct errors, and modify website features. If an error materially affects an order you have placed, we will contact you and handle the matter in accordance with applicable law and the relevant order terms.
We do not guarantee uninterrupted or error-free website availability. We may maintain, update, suspend, or modify website features when reasonably necessary.
Section 3 — Products, Colors, and Specifications
We make reasonable efforts to represent our products accurately through product descriptions, photographs, illustrations, and specifications.
Actual colors may vary slightly due to screen settings, lighting, fabric characteristics, printing processes, and other production variables. Product photographs and illustrations may not reproduce every detail exactly.
Any material difference between a product supplied and the specifications expressly confirmed for your order will be handled in accordance with our Refund & Returns Policy and applicable law.
Product availability, designs, specifications, and prices may change for future purchases. Changes will not automatically alter an order that has already been accepted.
Section 4 — Orders and Order Acceptance
Submitting an order or receiving an automated order acknowledgment does not necessarily mean that RonVue has accepted the order.
Order acceptance will occur through the applicable checkout or written confirmation process. For custom and bulk orders, the accepted quotation, written order confirmation, or separate custom order agreement will identify the agreed products, quantities, specifications, prices, payment terms, and other material conditions.
We may decline, limit, or cancel an order where reasonably necessary, including in cases of suspected fraud, material pricing or listing errors, product unavailability, or inability to verify essential order information. Any payment already collected will be handled in accordance with applicable law and our refund procedures.
You are responsible for providing accurate contact, billing, shipping, sizing, and order information and for reviewing your order confirmation promptly.
Section 5 — Prices, Currency, Taxes, and Payment
Unless otherwise stated, prices displayed on our website are in United States dollars (USD). The currency and final price applicable to an online purchase will be shown at checkout.
Shipping charges are shown at checkout or in your quotation. For orders placed through our online checkout, import duties and taxes are included: your order is shipped on a Delivered Duty Paid (DDP) basis, and you will not be asked to pay import duties, import taxes or customs clearance fees to the carrier on delivery. For Team & Business Orders, the applicable trade terms (for example, DAP or DDP) and the allocation of duties and taxes are stated in your quotation or order confirmation. If a shipment is refused without a valid reason, we may treat the shipment as undeliverable, and the return shipping costs and any resulting charges will be your responsibility, in each case subject to applicable law.
Available online payment methods will be shown at checkout. Payments may be processed by third-party payment service providers and are subject to the relevant provider's terms and security procedures.
Orders placed by individuals through our online checkout are paid in full at checkout unless we state otherwise.
For custom and bulk orders placed by clubs, schools, universities, teams, and other organizations, the standard payment arrangement is a 70% deposit due when we accept your order, with the balance due by the date stated in your order confirmation and in any case before shipment. Your quotation or order confirmation may specify different terms. Production begins only after we have received the deposit, you have approved the final design, sizes, and quantities, and we have confirmed to you in writing that your order has been released to production.
Cancellation and deposits. (a) If you cancel in writing before production begins, we will refund your deposit less any costs we have already incurred and cannot recover, such as sample fees, design work, materials already ordered, and payment processing fees. (b) Once production has begun, the deposit is non-refundable, and if our costs incurred exceed the deposit, we may charge you the difference, up to the total order price. (c) Nothing in this section limits your rights if we fail to deliver, or if the products are defective or do not match the specifications you approved, as set out in our Refund & Returns Policy and applicable law.
We may change prices for future purchases where permitted by law. A price change will not, by itself, change the price of an order already accepted.
Section 6 — Custom and Team Orders
RonVue offers custom rowing apparel and related products for teams, clubs, schools, universities, and other organizations, subject to the applicable minimum order quantity and order requirements.
Custom orders may involve specific colors, designs, logos, names, numbers, sizing, fabric choices, packaging, or other specifications.
Before production, the customer must review and approve the applicable design proof, artwork, size breakdown, quantities, product specifications, and other details identified in the quotation or order confirmation.
The customer is responsible for checking the accuracy of the information supplied and approved, including spelling, names, numbers, sizes, and design placement.
Production lead times are not fixed by these general Terms. The estimated production schedule, sample requirements, approval milestones, and expected dispatch or delivery arrangements will be specified in the relevant quotation or order confirmation.
Unless a specific date or deadline has been expressly agreed in writing, stated lead times are estimates rather than guaranteed delivery dates. Any agreed production schedule should identify the conditions that must be met before the schedule begins, such as deposit payment, final design approval, and receipt of complete sizing and order information.
Schedule changes. If you are late in making payment, approving designs, or providing complete sizing and order information, or if delays are caused by events beyond our reasonable control (including natural disasters, epidemics, government action, transport disruptions, and supplier failures), the production and delivery schedule will be extended accordingly. We will tell you promptly of any significant delay.
Information about team members. If you give us names, sizes, jersey numbers, or other personal information about athletes or team members, you confirm that you are authorized to provide it and, where the person is a minor, that you have the consent of a parent or legal guardian. We use this information only to fulfill your order, as described in our Privacy Policy.
Once a custom order enters production, cancellation or changes may be restricted because materials, printing, cutting, or manufacturing may already have begun. Any requested changes will be assessed individually, and we will confirm feasibility, revised timing, and additional costs where applicable.
Nothing in this section excludes or limits any rights or remedies that cannot lawfully be excluded or limited. If a product is defective, incorrectly manufactured, or materially inconsistent with the accepted order specifications, the matter will be handled in accordance with applicable law and our Refund & Returns Policy.
Section 7 — Samples and Production Approvals
Where sampling is required or offered, the quotation or order confirmation will specify the applicable sample fee, approval process, and whether the sample fee may be credited against a subsequent bulk order.
Customers must review samples and design proofs carefully and communicate requested corrections before approving production.
Minor production variations may occur in fabric texture, color, print placement, or other characteristics, unless specific tolerances have been agreed in writing. Such variations do not excuse a failure to meet expressly agreed specifications or applicable legal requirements.
The treatment of sample fees, sample orders, and sample-related cancellations will be governed by the applicable quotation, order confirmation, and legal requirements.
Section 8 — Intellectual Property
Unless otherwise stated, RonVue owns or is authorized to use the trademarks, logos, original designs, text, photographs, graphics, and other materials displayed on our website. These materials are protected by applicable intellectual property laws.
You may use website content for ordinary personal browsing and purchasing purposes. You must not reproduce, distribute, modify, commercially exploit, or create derivative works from our content without prior written permission, except where permitted by law.
For custom orders, customers retain any rights they already hold in the logos, artwork, names, and other materials they provide to RonVue.
Customers represent that they have the necessary rights and permissions to provide those materials and authorize RonVue to use them for quotation, sampling, production, quality control, and fulfillment of the relevant order.
Customers authorize RonVue to use their supplied materials only as reasonably necessary to perform the agreed services and fulfill the order, unless a separate written agreement provides otherwise.
Neither party obtains ownership of the other party's pre-existing intellectual property merely because a custom order is placed. Any additional permission to display a customer's logo, completed team apparel, or project images in marketing materials must be agreed separately where required.
Section 9 — Feedback and Submissions
If you submit general feedback or suggestions about our website or products, you permit RonVue to use that feedback to improve our services, to the extent permitted by law.
This section does not transfer ownership of confidential information, customer-provided artwork, or intellectual property submitted specifically for a custom order.
You must not submit unlawful, misleading, defamatory, abusive, malicious, or infringing content. We may remove or decline to use such content where reasonably necessary or required by law.
Section 10 — Third-Party Services and Links
Our website may use or link to third-party services, including payment processors, shipping providers, website tools, analytics services, and embedded content.
Third-party services may be governed by their own terms and privacy policies. We do not control independent third-party websites or services and are not responsible for their independent content or practices to the extent permitted by applicable law.
Nothing in this section excludes any responsibility that applicable law requires RonVue to retain.
Section 11 — Privacy and Cookies
Our collection and use of personal information are described in our Privacy Policy. Our use of cookies and similar technologies is described in the Cookies section of our Privacy Policy and can be managed at any time through the cookie consent banner or your browser settings.
Where applicable law requires consent for non-essential cookies or tracking technologies, such consent will be requested separately. Acceptance of these Terms does not constitute blanket consent to non-essential cookies or marketing tracking.
Section 12 — Disclaimer and Limitation of Liability
We take reasonable steps to maintain our website and provide accurate product information, but we do not guarantee uninterrupted website operation or that all website content will always be free from errors.
Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy that cannot lawfully be excluded, restricted, or modified under applicable law, including mandatory consumer rights relating to goods or services.
To the extent permitted by applicable law, RonVue will not be liable for indirect or consequential losses that were not reasonably foreseeable and that arise from the use of the website or a breach of these Terms.
If you are a Business Customer (as defined in Section 18), and to the extent permitted by law, our total liability arising out of or relating to an order will not exceed the total price you paid for that order. This limit does not apply to liability that cannot lawfully be limited, including liability for fraud, willful misconduct, gross negligence, or death or personal injury.
Nothing in this section excludes or limits liability where such exclusion or limitation is prohibited by law.
Section 13 — Indemnification
To the extent permitted by applicable law, you are responsible for losses, claims, and reasonable costs arising directly from your unlawful use of the website, material breach of these Terms, or infringement of third-party rights.
This section does not require you to indemnify RonVue for losses caused by RonVue's own breach, negligence, unlawful conduct, or any other circumstances for which responsibility cannot lawfully be transferred to you.
Section 14 — Suspension and Termination
We may restrict or suspend access to the website where reasonably necessary to address fraud, security risks, unlawful activity, or a material breach of these Terms.
You may stop using the website at any time. Stopping use of the website does not automatically cancel an accepted order or any payment obligations or rights that have already arisen.
Suspension or termination does not affect rights or remedies that accrued before the relevant date and remains subject to applicable law.
Section 15 — Severability
If any provision of these Terms is held to be unlawful, invalid, or unenforceable, that provision will be limited or severed to the minimum extent necessary. The remaining provisions will continue to apply to the extent permitted by law.
Section 16 — No Waiver
If we do not enforce a provision of these Terms on one occasion, this does not mean that we waive our right to enforce it later.
Section 17 — Entire Agreement and Order-Specific Terms
These Terms, together with the policies expressly incorporated into them and any applicable accepted order confirmation or separate written agreement, govern your use of the website and the relevant purchase.
For custom or bulk orders, the accepted quotation and order confirmation will govern the specific product specifications, quantities, pricing, deposit, balance payment, sample arrangements, production schedule, and delivery commitments stated in those documents.
Nothing in this section overrides any mandatory legal rights or remedies.
Section 18 — Governing Law and Disputes
18.1 Business Customers. If you place an order on behalf of a club, school, university, team, company, or other organization, or otherwise for purposes other than personal or household use ("Business Customer"), these Terms and any dispute arising out of or relating to them or your order are governed by the laws of the People's Republic of China, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods. Any such dispute will be submitted to the Hangzhou Arbitration Commission for arbitration in Hangzhou in accordance with its arbitration rules in force when the application for arbitration is submitted. The arbitration will be conducted in English where the parties and the tribunal are able to do so, and otherwise in Chinese. The award is final and binding on both parties.
18.2 Individual customers. If you are an individual buying for personal or household use, these Terms are governed by the laws of the People's Republic of China, except that nothing in these Terms deprives you of the mandatory consumer protections of the country where you live. Subject to those mandatory protections, the courts with jurisdiction in Hangzhou, China, will have jurisdiction over disputes. Nothing in this section prevents you from bringing a claim in a court that has mandatory jurisdiction under the consumer protection laws of your place of residence.
18.3 Contact us first. If you have a dispute, please contact us at info@ronvue.com first and allow us 14 days to try to resolve it. If you intend to open a payment dispute or chargeback with your card issuer or payment provider, we ask that you contact us first. This does not limit any rights you have under applicable law or under card network or payment provider rules.
Section 19 — Changes to These Terms
We may update these Terms to reflect changes to our website, products, services, business practices, or legal requirements.
The updated version will be posted on this page with a revised "Last Updated" date. Changes will apply as permitted by law and will not automatically alter the terms of an order already accepted.
Where required by law, we will provide notice or obtain consent before applying material changes.
